Senior Paralegal (Finance)

Role/ Department: Senior Corporate Paralegal/Corporate Secretary's Office
This role will reside within the Corporate Secretary's Office and provide support for corporate governance, Board of Directors, and executive officer related matters.
The key responsibilities of the role include:
• Assist members of the Corporate Secretary's Office in ensuring that all Board of Directors meetings are properly called, held, and recorded. Assist in preparation for, and scheduling and logistics of, all Board of Directors meetings and the annual stockholders' meeting.
• Assist in coordinating and organizing the flow of information to directors and executive officers by various means, including through a board portal; review certain board materials prior to distribution to ensure compliance with board-directed guidelines governing the materials directors receive.
• Maintain the document indexing process for all minutes of Board of Directors and Board Committee meetings, as well as for related agendas, support materials and other corporate records of the Corporation and its subsidiaries.
• Draft resolutions, written consents, and governance related certificates; maintain the Corporation's organizational documents (charter, by-laws, corporate governance guidelines, etc.); certify corporate documents; and maintain corporate governance related documents on the Corporation's website.
• Draft minutes for certain governance body meetings.
• Participate in special projects to enhance the effectiveness and efficiency of the Corporate Secretary's Office.
• Assist members of the Corporate Secretary's Office in ensuring compliance with certain SEC, NASDAQ, and Federal Reserve Board rules and regulations. Assist with the preparation of D&O questionnaires and the ongoing implementation of the Corporation's related-party transaction policy.
Skills/Qualifications:
• Bachelor's degree and/or paralegal certificate.
• Minimum 5 years related experience as a paralegal at a law firm and/or assistant corporate secretary of a publicly traded company.
• Strong attention to detail and organizational, time-management, interpersonal, and writing skills.
• Self-starter capable of working both independently and as a team member to achieve team goals.
• Demonstrated familiarity with the Delaware General Corporation Law and/or the Illinois Business Corporation Act.
• Demonstrated familiarity with Board of Directors portals and software (familiarity with Diligent is a plus).
• Legal research skills.
The successful candidate will benefit from having:
• Familiarity with federal securities laws and NASDAQ listing requirements.
Working Model: Hybrid (#LI-Hybrid)
We have a balanced hybrid working model to ensure you get the flexibility you need, and the successful candidate will spend their time between working in the office and working from home.
Salary Range:
$74,200 - 126,200 USD
Salary range is a good faith estimate of base pay. Northern Trust provides a comprehensive benefits package including retirement benefits (401k and pension), health and welfare benefits (medical, dental, vision, spending accounts and disability), paid time off, parental and caregiver leave, life & accident insurance, and other voluntary and well-being benefits. Northern Trust also provides a discretionary bonus program that may include an equity component.
